General Terms and Conditions

1. Scope of Application +

The following General Terms and Conditions (hereinafter: "GTC") apply to all deliveries, services and offers of IQ Navigation AG (hereinafter: "IQAG"). Special provisions for a product or service sold by IQAG (e.g. perpetual or time-limited licences/terms of use for software, conditions for maintenance or support services) take precedence over these GTC to the extent that they deviate in content.

Conflicting terms and conditions of the customer shall not become part of the contract even without express objection. Any amendment, deviation or addition to these GTC requires written form; there are no verbal side agreements.

IQAG reserves the right to amend these GTC at any time with effect for all future contracts based thereon. With regard to existing contractual relationships, IQAG is also entitled to amend these GTC by informing the respective customer in writing. Amendments shall take effect one month after notification. If amendments are detrimental to the customer, the customer may terminate the contract within one month of receipt of the notification of amendment.

2. Offer and Formation of Contract +
  1. Offers by IQAG are non-binding – particularly with regard to the nature and availability of the main service, prices, quantity, delivery period, delivery options and ancillary services. A contract is only concluded upon written order confirmation and/or dispatch of goods and/or execution of the order by IQAG.
  2. Explicitly different rules of IQAG regarding the conclusion of contracts – such as in quotes, order forms or IQAG webshops – take precedence.
  3. An automatically generated e-mail that merely confirms receipt of an order does not constitute an order confirmation.
  4. Unless otherwise stated, written quotes from IQAG are valid for 30 days.
  5. Any assumption of guarantees or assurance of properties in favour of the customer requires written confirmation by IQAG.
  6. Telephone agreements are only binding if confirmed in writing.
  7. The scope of services to be provided by IQAG is determined solely by written contracts.
  8. Deviations from the offer documents that are absolutely necessary due to legal or technical standards are reserved.
3. Installation, Training and Consulting +
  1. The customer is solely responsible for the proper installation, commissioning and maintenance of delivered software. Installation by IQAG as well as training and instruction are not included in the scope of services and will be charged separately.
  2. If IQAG provides training, consulting or installation services, the customer must ensure that the required conditions on the customer's side are met. If the customer fails to fulfil its cooperation obligations, the contractually agreed execution periods of IQAG shall be extended accordingly.
  3. Information requires written confirmation.
4. Service Prerequisites and Performance +
  1. Unless otherwise agreed, the customer's right to performance only arises upon full payment of the contractually agreed remuneration.
  2. Ordered products and requested services are delivered, performed or made available exclusively to addresses in Switzerland or Liechtenstein.
  3. All deliveries and provisions are at the cost and risk of the customer.
  4. IQAG is entitled to use the assistance of third parties to fulfil its obligations.
  5. IQAG is entitled to make partial deliveries and partial services to a reasonable extent.
  6. Products made available for testing or demonstration purposes remain the property of IQAG.
  7. Rebookings and cancellations require written form. IQAG is entitled to charge a cancellation fee (up to 8 working days before the start of the course 25%, 4–7 working days 50%, 0–3 working days 100% of the course fee).
5. Delivery Periods +
  1. IQAG is exclusively bound by delivery dates agreed in writing.
  2. Delivery and performance periods shall be extended appropriately in the event of force majeure and all other obstacles not attributable to IQAG.
6. Prices +
  1. Prices are in Swiss Francs or an equivalent stated currency, net, exclusive of VAT, packaging and freight charges.
  2. Training and installation services are invoiced according to the price list valid at the time of order acceptance, unless a fixed price has been agreed.
  3. IQAG is not bound by stated prices if a delivery period of more than four months from the date of contract is agreed.
7. Payment +
  1. IQAG is entitled to send invoices electronically.
  2. Unless otherwise agreed, payments are due immediately without any deduction. In the event of non-compliance, the customer is in default without a reminder.
  3. In the event of default, IQAG is entitled to charge default interest of 8% above the base rate.
  4. In the event of default in payment, IQAG is entitled, after setting a grace period of no more than 14 days, to withdraw from the contract and to claim damages (30% of the order value).
  5. The customer may only offset against undisputed or legally established claims.
8. Retention of Title +

IQAG retains ownership of the delivered program media and the right of use of the software contained thereon until all claims have been paid in full. In the event of the customer's breach of contract, IQAG is entitled to reclaim the reserved goods at the customer's expense.

9. Warranty for Software Deliveries +
  1. The customer must inspect delivered software immediately for defects and document any material defects in detail and notify IQAG in writing within 14 days of delivery.
  2. IQAG provides all services with the maximum legally permissible exclusion of all warranty or guarantee claims. Warranty rights exist only for properties of the software that have been expressly guaranteed in writing.
  3. IQAG does not guarantee that the software can be used without interruption and/or error-free. Any unauthorised modification of the software by the customer results in the loss of all warranty claims.
  4. All warranty claims expire within 12 months of the respective software delivery.
10. Duty of Care and Liability +
  1. IQAG performs the contractual services owed with due care. A specific result is only owed if it has been expressly guaranteed.
  2. IQAG assumes no liability for interruptions in software use that serve the purpose of rectifying defects, maintenance or conversion of the infrastructure.
  3. IQAG is liable exclusively for damages arising from intentional or grossly negligent breach of its contractual main obligations and for damages arising from injury to life, body or health.
  4. In particular, IQAG is in no case liable for indirect damages, consequential damages, loss of profit, business interruptions, data loss or atypical and unforeseeable damages.
  5. To the extent that liability exists, IQAG is only liable for the typically foreseeable damage.
11. Intellectual Property +
  1. IQAG retains all copyright and industrial property rights as well as exploitation rights to the delivered software. Unless expressly agreed otherwise, the customer acquires a simple right of use to the software.
  2. IQAG reserves all rights to every design, text and graphic on its website. Copying is only permitted for the purpose of placing an order with IQAG.
  3. The name "IQ Navigation AG" is protected as a trademark and its use as a trademark by the customer without the consent of IQAG is prohibited.
  4. IQAG reserves all ownership and copyright rights to illustrations, texts, drawings and other documents created by IQAG.
12. Data Protection +
  1. The collection, processing, storage and protection of personal data is governed by the current Privacy Policy of IQ Navigation AG.
  2. Confidential data recorded by the customer using an IQAG software solution is treated confidentially and made accessible only to employees entrusted with the order.
13. Assignment of Claims +

The customer is not entitled to transfer contracts concluded with IQAG as a whole or individual rights or obligations arising therefrom to third parties without the consent of IQAG.

14–15. Final Provisions and Jurisdiction +

These conditions remain binding in their remaining parts even if individual provisions are legally invalid. Should provisions be or become invalid, they shall be replaced by a provision that comes as close as possible to the economic purpose of the invalid provision.

The place of jurisdiction for all disputes with IQ Navigation AG is – subject to overriding mandatory federal jurisdictions – Kreuzlingen. The contract is subject to Swiss law (excluding the UN Convention on Contracts for the International Sale of Goods/CISG).

The European Commission provides a platform for online dispute resolution: https://ec.europa.eu/consumers/odr. We are not obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board.

License Agreement (EULA)

1. Subject Matter +

The software is provided exclusively under a licence model and is not sold. The licensee receives a personal, non-exclusive, non-transferable and revocable right of use to the software in accordance with the terms of this agreement.

2. Non-Transferability and Prohibition of Passing On +

The licence is strictly personal. Any sale, transfer or passing on of the software or rights of use – whether for payment or free of charge – is prohibited. Since the software is an integral part of a cloud-based system and processes personal data, transfer to third parties is also excluded for data protection reasons. Violations entitle IQ Navigation AG to immediately block access and to assert claims for damages.

3. Account Binding +

Use requires a personalised user account and device-related activation. Passing on access data is not permitted. The licensee is obliged to keep their access data confidential and to inform IQ Navigation AG immediately of any misuse.

4. Scope of Use and Restrictions +

Use is limited to the agreed licence scope. Reproduction, rental, lending or publication of the software is prohibited. Decompilation, disassembly or other forms of reverse engineering are also prohibited unless mandatory law provides otherwise.

5. Cloud-Based System, Hybrid Use and Data Protection +

The software is an integral part of a cloud-based system. It can be used autonomously and offline to a large extent; however, certain functions require an internet connection and use cloud services of IQ Navigation AG (hybrid model). In the course of system operation, the software processes personal data in accordance with the current Privacy Policy of IQ Navigation AG and the requirements of the Swiss Data Protection Act (nDSG).

6. Liability and Warranty +

The liability of IQ Navigation AG is limited to intent and gross negligence. Liability for indirect damages, loss of profit or data loss is excluded to the extent permitted by law. The software is provided "as is"; no warranty is given for uninterrupted or error-free operation.

7. Termination +

In the event of violations of this agreement, IQ Navigation AG may terminate the licence without notice. Upon termination, the right of use expires immediately; the licensee is obliged to delete all copies of the software without delay. Licence fees already paid will not be refunded.

8. Final Provisions +

Swiss law shall apply exclusively, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction for all disputes is Kreuzlingen, Switzerland. Should individual provisions of this agreement be invalid, the validity of the remaining provisions shall remain unaffected.
